Terms of Service

1. Agreement

By engaging DeshiCoder ("we", "our", "us") for any service — including website development, app development, digital marketing, or custom software — you ("Client") agree to these Terms of Service. These terms govern all projects and engagements between you and DeshiCoder.

2. Scope of work

All projects begin with a written scope of work ("SOW") or project brief agreed upon by both parties. Any changes to the agreed scope must be requested in writing and may result in revised timelines and costs. We will provide a change order with updated pricing before any out-of-scope work begins.

3. Fixed quotes and payment

• DeshiCoder provides fixed written quotes. The quoted price is the final price for the agreed scope — no surprise invoices.
• Payment is typically structured as a deposit before work begins (usually 50%) with the remainder due upon project completion or at agreed milestones.
• Late payments (beyond 14 days of invoice date) may incur a 1.5% monthly interest charge.

4. Timelines and delivery

Timelines are provided at the start of each project and are contingent on timely feedback and asset delivery from the Client. DeshiCoder will provide weekly progress updates. Delays caused by the Client's failure to provide required materials or approvals may extend the agreed timeline.

5. Revisions

Each project package includes a specified number of revision rounds as detailed in the project proposal. Revisions beyond the agreed rounds will be quoted separately.

6. Intellectual property

• Upon receipt of full payment, ownership of the final deliverables transfers to the Client.
• Open-source libraries and third-party components remain under their respective licenses.
• DeshiCoder retains the right to display completed work as portfolio examples unless the Client requests otherwise in writing.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose it to third parties without written consent.

8. Warranties and limitation of liability

DeshiCoder warrants that all work will be performed with reasonable skill and care. Our total liability for any claim arising from a project shall not exceed the total fees paid for that project. DeshiCoder is not liable for indirect, incidental, or consequential damages.

9. Post-launch support

Every project includes a post-launch support window (duration specified in the project proposal) for bug fixes related to the delivered scope. Ongoing support, updates, and new features beyond this window are subject to a separate maintenance agreement or quoted separately.

10. Termination

Either party may terminate an engagement with 14 days' written notice. In the event of termination, the Client will be invoiced for all work completed up to the termination date. Deposits are non-refundable once work has begun.

11. Governing law

These terms are governed by the laws of Bangladesh. Any disputes will be resolved through good-faith negotiation first; if unresolved, by the courts of Dhaka, Bangladesh.
